Bidding on a Contract

I am new to this and not sure how to go about this. Let me give you a back ground on the situation. I am a suprvisor of a factory in Southern Indiana. We have about 130 employees total. we only run 2 shifts a day but they run 7 days a week. with Sunday and Saturday only having one shift. Kind of complicated I know. The factory is about 15 miles out of town and they only get 30 minutes for lunch. Right now someone already has 3 machines at this location, 1 can machine, 1 bottle machine, and one snack machine. However there is no contract with them. They did a great job at first but over the last 16 months we have added 2 shifts and added about 100 employees. They are having a hard time keeping up and some problems with the vending company as a whole has made my boss question them. I have brought up the idea of me doing it beofre to my boss about 6 months ago and he told me that he saw it as a conflict of intrest and the more I looked at it I didnt know if I would have the time to work 11 hours a day and also stock the machines. 2 months ago however I got engaged. My fiance is a preschool teacher. There was a week long period about a month ago where the vendors let us run out of everything. It was horrible and my boss was complaining about it. So I went and talked it over with my Fiance and she said she would love for that to be her only job. Since then I have been doing my research and asking a lot of questions and I am very thankful for everyones help! I know what machines I am going to put in one CB700 and one SV 5 and I know what I am going to sell. I have gotten all my research done and now my boss needs a contract. He said he is going to get a contract from a local vendor and compare my contract with them and also with some of our other locations and the contracts they have with their vendors. Im not worried about having the best prices because Im sure I will and im not worried about having the best service because Im sure I will. I am just worried about how I write up a contract and explain to them what I am going to do. Is there anyone that can help me with this? Maybe even send me a contract that I could look at and write mine off of? I have not done anything like this before and have no idea where to start. Do I explain what machine I will be using? Do I tell them all my prices and exactly what sodas and snacks I will have? Do I put a clause in the contract that deals with price increases and if so how do I word that? Also the company they have now does not give them commision, so should I offer them commision right off the bat or should I wait until they deny my first contract? I really dont want to lose this though. I was thinking about maybe giving away 20 bucks a week or a month by like taping a 20 dollar bill to a soda or a snack. should I mention that? Also might offer lower prices to new snacks to see if they like them or not. Also would have a comment box that would be used for sugesstions on snacks or soda. Should that be in the contract as well? Is there anything you all have learned about bidding on a conract? Any help on this topic would be very greatly appreciated!! Thaniks so much!!

if u are looking for a cold food machine i know that whitten sells them-however they are really expensive. try to avoid it.
if u can't - sam's carry some frozen food that can last in these machines for about a week.also wal-mart sells ready made sandwiches in plastic wrap that need to be microwaved and have a shelf life of 3 weeks.u can also look for the type of sandwiches they sell in the gas station that don't need to be microwaved but they have a shorter shelf life.
one thing to remember is that u have to have a microwave next to this kind of machine in order to warm up the food.another thing to keep in mind is that these machine don't hold a lot of products per item (5-6 pcs. per selection) so they need frequent service.
hope this helps a bit.

OK I just got a quote from whittern for 1 CB700, 1 SV 5 and 1 CB1000 (Cold Food Machine) for 10,875.00 I know this is a lot but I think I can pay it off in 3 months. What does everyone else think about having a cold food machine. You have to remember there is 130 Blue Collar employees with a 30 min lunch and we are 15 min from town. I think it would go over great. We already have microwaves. Please let me know what you think.

I have used this contract before, but normally don't require a contract. One thing I will say is do not present this contract to a location that you will not be paying a commission to with the commission wording in it. Otherwise they will be ready to sign, but then stop and ask for a commission. I also added a clause stating that the price list is intended to be a summary of our pricing and that certain items or brands might be priced different. If it is an important contract I would use a lawyer.
